1. Nature of Engagement
This engagement constitutes a professional B2B service agreement for IT consulting, software development, or related digital services provided by Vyntyra Consultancy Services.
This engagement does not constitute an employer-employee partnership, joint venture, or agency relationship, but rather an independent contractor-client relationship unless explicitly stated otherwise in a separate formal Master Service Agreement.
2. Client & Contractor Expectations
During the engagement, the parties agree to:
- Devote the necessary resources, feedback, and technical assets required to meet project milestones.
- Maintain professional etiquette, adhere to sprint deadlines, and report progress transparently during syncs.
- Comply with all information security protocols, zero-trust policies, and development standards agreed upon in the project scope.
3. Work Product and Intellectual Property Assignment
Any code, software architectures, documentation, designs, algorithms, digital assets, or research developed by the Company for the Client shall be considered "work made for hire" upon full realization of payment.
All right, title, and interest, including worldwide copyrights and patent rights, in such specific client deliverables belong solely and exclusively to the Client, excluding any pre-existing proprietary tools, open-source libraries, or frameworks utilized by Vyntyra Consultancy Services during development.
4. Confidentiality & Non-Disclosure
Both parties will have access to confidential and proprietary information (source code, client data, business strategies, API keys, credentials) during the engagement.
Both parties shall maintain strict confidentiality during and indefinitely after the completion of the project. Unauthorized disclosure, cloning, or public hosting of private repositories will result in immediate termination of the contract and potential legal action under the Information Technology Act, 2000.
5. Project Completion Criteria
To consider a project formally completed and handed over, the Company must:
- Complete all mandatory sprint deliverables, revisions, and final milestone deployments as scoped.
- Achieve satisfactory quality assurance and testing sign-offs from the Client.
- Complete formal handover of all digital assets, production code, and administrative access credentials.
6. Termination
Either party may terminate the service agreement by giving 14 days written notice if unforeseen circumstances arise.
The Company reserves the right to terminate the project immediately without notice in cases of gross misconduct, breach of confidentiality, payment default, or illegal data practices by the Client.
This agreement governs the professional service engagement for clients.
